1. Introduction
These Terms of Service (“Terms”) govern your access to and use of CenBur (“Service”), provided by Dominik Mucklow, operating as a sole trader (Einzelunternehmen) registered in Austria (“we”, “us”, “our”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
CenBur is a business operating system for small and medium-sized enterprises. It currently provides:
- AI-powered social media content generation and scheduling
- Multi-project brand management
- Publishing to connected social media accounts
Additional modules (document management, contracts, HR, timesheets) are in development and will be made available under these Terms as they launch.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use CenBur. By using the Service, you confirm that you meet these requirements.
If you are using CenBur on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
4. Your Account
4.1 Registration
You must provide accurate and complete information when creating your account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
4.2 One account per user
Each account is for a single user. You may not share your account credentials with others.
4.3 Account security
Notify us immediately at support@cenbur.com if you suspect unauthorised access to your account.
5. Acceptable Use
You agree not to use CenBur to:
- Violate any applicable law or regulation
- Publish content that is defamatory, harassing, abusive, obscene, or discriminatory
- Infringe the intellectual property rights of any third party
- Publish spam, unsolicited messages, or misleading content
- Attempt to gain unauthorised access to the Service or its underlying systems
- Use the Service to distribute malware or other harmful code
- Circumvent any technical limitations or restrictions of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service in any way that violates the terms of service of any connected social media platform (Meta, LinkedIn, etc.)
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms.
6. Connected Social Media Accounts
When you connect a social media account to CenBur, you authorise us to publish content to that account on your behalf. You confirm that:
- You own or have the right to use the connected account
- You are authorised to grant CenBur access to that account
- You have read and agree to the terms of service of the relevant social media platform
You are solely responsible for all content published through CenBur to your social media accounts. We are not responsible for any consequences arising from published content, including violations of platform terms, third-party claims, or reputational damage.
7. AI-Generated Content
CenBur uses artificial intelligence to generate content suggestions and drafts on your behalf. You acknowledge that:
- AI-generated content is a starting point and may require your review and editing before publication
- We do not guarantee the accuracy, appropriateness, or fitness for purpose of AI-generated content
- You are solely responsible for reviewing and approving any content before it is published
- You retain all intellectual property rights in content you create or approve through the Service
We are not liable for any claims arising from AI-generated content published through your account.
8. Intellectual Property
8.1 Your content
You retain ownership of all content you create, upload, or publish through CenBur. By using the Service, you grant us a limited, non-exclusive licence to store, process, and transmit your content solely for the purpose of providing the Service.
8.2 Our intellectual property
CenBur, including its software, design, trademarks, and documentation, is owned by us and protected by intellectual property law. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.
8.3 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.
9. Subscription and Payment
9.1 Plans
CenBur is offered on a subscription basis. Current pricing is displayed at cenbur.com/pricing. Prices are shown exclusive of VAT where applicable.
9.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe. You authorise us to charge your payment method on a recurring basis.
9.3 Free trial
We may offer a free trial period. At the end of the trial, you will be charged for your selected plan unless you cancel before the trial ends.
9.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
9.5 Price changes
We will give you at least 30 days’ notice of any price changes by email. Continued use of the Service after a price change constitutes acceptance of the new price.
9.6 Failed payments
If a payment fails, we will notify you by email. We reserve the right to suspend your account if payment remains outstanding after 7 days.
10. Availability and Maintenance
We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform scheduled maintenance with advance notice or emergency maintenance without notice when required. We are not liable for any losses caused by downtime or service interruptions.
11. Third-Party Services
CenBur integrates with third-party services including Meta, LinkedIn, Anthropic, Supabase, and Stripe. We are not responsible for the availability, performance, or terms of these third-party services. Changes by third-party platforms (including API access restrictions or policy changes) may affect the functionality of CenBur, and we are not liable for any resulting impact on your use of the Service.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” without warranties of any kind, express or implied
- We do not warrant that the Service will meet your requirements or be error-free
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability to you for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify and hold harmless CenBur and its owner from any claims, damages, losses, and costs (including legal fees) arising from:
- Your use of the Service
- Content you publish through the Service
- Your violation of these Terms
- Your violation of any third-party rights
14. Termination
14.1 By you
You may close your account at any time from your account settings. Upon closure, we will delete your data in accordance with our Privacy Policy.
14.2 By us
We may suspend or terminate your account immediately if you violate these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice where possible.
14.3 Effect of termination
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, limitation of liability, and indemnification.
15. Governing Law and Disputes
These Terms are governed by the laws of Austria. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Innsbruck, Austria.
If you are a consumer resident in the EU, you may also be entitled to bring proceedings in the courts of your country of residence, and to access the EU Online Dispute Resolution platform at ec.europa.eu/odr.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
